These Website Terms of Use (“Terms”) govern your access to and use of the website webuildit.tech (the “Website”), operated by WBI Innovations LLC, d/b/a WE BUILD IT (“We Build IT”, “we”, “us” or “our”). By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, do not use the Website. Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms.

WBI Innovations LLC, d/b/a WE BUILD IT is a limited liability company registered in the State of Florida, United States, with offices at 8400 NW 36th St, Suite 450, Doral, FL 33166, United States. We provide business-to-business (“B2B”) services, including software development, web and mobile applications, digital marketing, and technology consulting.

The Website is intended for businesses and for individuals acting in a professional or business capacity. You must be of legal age (at least 18 years old) to use the Website. If you use the Website on behalf of a company or other organization, you represent and warrant that you have the authority to bind that entity to these Terms.

The Website is informational. It allows you to learn about our services, contact us through forms, book a video call, subscribe to our newsletter, download resources, view testimonials and case studies, and apply for open positions. Submitting a form, booking a meeting, subscribing to the newsletter, or communicating with us does not create any contract, quotation, or obligation for either party. All of our services are contracted exclusively through a written proposal, Statement of Work (“SOW”), Master Services Agreement (“MSA”), or other written agreement duly signed by the parties. In the event of any conflict between these Terms and a signed agreement, the signed agreement prevails for the services it governs.

If you subscribe to our newsletter or consent to receive commercial communications, you agree to receive them through the channels you selected, in accordance with our Privacy Policy. Every commercial email includes an unsubscribe link. We do not send cold promotional SMS or WhatsApp messages; such channels are used only with your prior consent.

The Website and its contents — including texts, designs, graphics, logos, images, and code — are owned by We Build IT or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Website and to download or print pages or resources for your legitimate business inquiry purposes only. You may not reproduce, distribute, modify, create derivative works from, or exploit the Website or its contents without our prior written consent. All trademarks displayed that are not owned by We Build IT belong to their respective owners.

Client names, logos, photographs, testimonials, and case studies shown on the Website or our social media are published with the prior written authorization of the corresponding client. They do not imply that all clients achieve the same results, and nothing on the Website is a guarantee of specific business outcomes.

You agree not to: (i) use the Website for unlawful, fraudulent, or misleading purposes; (ii) interfere with or disrupt the operation of the Website or its hosting infrastructure; (iii) scrape, harvest, or collect data from the Website using automated means without our prior written consent; (iv) circumvent or attempt to circumvent any security or access controls; (v) misrepresent your identity or affiliation; (vi) introduce malware or harmful code; (vii) submit false, defamatory, infringing, or otherwise unlawful content through our forms; or (viii) use the Website to send unauthorized commercial communications. We reserve the right to restrict or terminate access to the Website for any violation of these Terms.

The Website may contain links to third-party websites or platforms (such as social media, booking tools, or payment processors). We do not control and are not responsible for their content, policies, or practices. Your use of third-party platforms is governed by their own terms and privacy policies.

THE WEBSITE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. THE INFORMATIONAL CONTENT OF THE WEBSITE DOES NOT CONSTITUTE PROFESSIONAL, LEGAL, FINANCIAL, OR TECHNICAL ADVICE FOR YOUR SPECIFIC SITUATION.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE BUILD IT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE WEBSITE. WE BUILD IT’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE WEBSITE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (USD 100) OR (B) THE AMOUNTS YOU PAID TO WE BUILD IT FOR SERVICES IN THE THREE (3) MONTHS PRECEDING THE FIRST EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless We Build IT, its members, managers, officers, employees, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your violation of applicable law, or the content you submit through the Website.

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of laws principles. Subject to Section 13 (Arbitration), any dispute shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to their personal jurisdiction and venue.

Before initiating any formal proceeding, the parties will attempt in good faith to resolve any dispute through negotiation for thirty (30) days from written notice of the dispute. Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Website that is not resolved amicably shall be finally resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, with the seat of arbitration in Miami-Dade County, Florida, before a single arbitrator, and conducted in English (documents in Spanish may be submitted with a translation if requested). YOU AND WE BUILD IT EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION. Either party may seek interim or injunctive relief in the courts described in Section 12 to protect intellectual property or confidential information. Claims may be brought individually only. Nothing in this Section limits either party’s ability to file a claim in a small claims court of competent jurisdiction.

We may modify or discontinue the Website, its features, or these Terms at any time. Updated versions will be posted on the Website with a new “Last updated” date; continued use of the Website after changes constitutes acceptance of the updated Terms.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right is not a waiver of it. You may not assign these Terms without our prior written consent. These Terms, together with the Privacy Policy, constitute the entire agreement between you and We Build IT regarding the use of the Website, and supersede any prior statements regarding the Website. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
